Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Twindem Team product, the Twindem Suite applications (such as Twindem Pulse), and the twindem.ai website (the "Services"), provided by Mykey Digital ("Mykey Digital", "we", "us"), the company behind the Twindem products. By using the Services you agree to these Terms. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization.

1. The Services

Twindem Team is a control plane and desktop application for orchestrating AI coding agents across a team, with a shared delivery board as the source of truth. Features and plans may change over time.

2. Accounts, seats, and eligibility

You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. Access is licensed per seat as defined by your subscription. The Services are intended for business use by users aged 16 or older.

3. Subscriptions and billing

Paid subscriptions are transacted through Microsoft Azure Marketplace. Fees, seat quantities, and metered usage charges are billed by Microsoft on your Azure invoice according to the plan you select. Except as required by law or stated in your plan, fees are non-refundable.

4. Acceptable use

You agree not to:

• use the Services unlawfully or to infringe others' rights;
• attempt to breach security, isolation, or access controls, or access other tenants' data;
• reverse engineer, resell, or misuse the Services except as permitted by law or your plan;
• upload malware or content you have no right to share.

5. Your content and intellectual property

You retain all rights to the code, documents, work items, and other content you create or upload ("Customer Content"). You grant Mykey Digital a limited license to host and process Customer Content solely to provide the Services. Mykey Digital and its licensors retain all rights in the Services themselves.

6. AI-generated output

The Services help you run AI coding agents. AI output can be incomplete or inaccurate. You are responsible for reviewing, testing, and validating any output before relying on it or shipping it. Twindem's review gates and evidence features are aids, not guarantees of correctness.

7. Third-party services

The Services integrate with third parties such as Microsoft Azure, Microsoft Entra ID, and board providers (GitHub, Jira). Your use of those services is governed by their own terms.

8. Warranty disclaimer

The Services are provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law.

9. Limitation of liability

To the maximum extent permitted by law, Mykey Digital will not be liable for indirect, incidental, or consequential damages, or for lost profits or data. Our aggregate liability is limited to the amounts you paid for the Services in the twelve months before the claim.

10. Suspension and termination

We may suspend or terminate access for breach of these Terms or to protect the Services. You may stop using the Services at any time; subscription cancellation is handled through Azure Marketplace.

11. Changes to these Terms

We may update these Terms; material changes will be indicated by updating the "Last updated" date and, where appropriate, additional notice. Continued use means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of Romania, and disputes are subject to the competent courts of Romania, unless mandatory local law provides otherwise.
